The $28.1 billion deal would buy Alltel and make Verizon the nation's largest wireless provider with more than 80 million subscribers.

The companies hope the transaction will be approved and completed by the end of the year.

AT&T Wireless would become the No. 2 provider, followed by Sprint Nextel, then T-Mobile.
